Terms of Service

Northstar Ventures is a venture capital firm. The Platform provides an online application process through which founders may submit startup applications to Northstar Ventures for consideration, and through which approved Venture Scouts may participate in our sourcing programme.

Northstar Ventures reviews applications and may, at its sole and absolute discretion, make investment decisions. Submission of an application does not guarantee funding, investment, a meeting, a response, or any other commitment from Northstar Ventures.Investment decisions are made individually based on a variety of factors determined entirely at the discretion of Northstar Ventures.

Investment terms and equity arrangements, where applicable, are determined individually after evaluation and due diligence. Nothing on the Platform constitutes a promise or guarantee of investment.

To access or use the Platform, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into a binding agreement
• Have the legal authority to represent the startup or business on whose behalf you are applying, where applicable
• Not be prohibited from using the Platform under applicable law in your jurisdiction

We welcome applications from founders located anywhere in the world. Geographic location is not a barrier to eligibility, and Northstar Ventures takes a global approach to identifying and supporting exceptional founders.

By using the Platform, you represent and warrant that you meet all of the eligibility requirements stated above.

Certain features of the Platform require you to create an account. When creating and maintaining your account, you agree to:

• Provide accurate, current, and complete information during the registration process
• Keep your account information up to date and correct at all times
• Maintain the confidentiality of your account credentials and password
• Accept responsibility for all activity that occurs under your account, whether authorised by you or not
• Create only one account per individual person
• Not share your account with any other person

You must notify us immediately if you suspect any unauthorised access to or use of your account by contacting hello@northstarvc.xyz.

We reserve the right to suspend or terminate accounts that provide inaccurate information, share credentials, or otherwise violate these Terms.

By submitting a startup application through the Platform, you acknowledge and agree to the following:

• All applications are reviewed at the sole discretion of Northstar Ventures
• We do not guarantee any specific response time, and are under no obligation to review, respond to, or provide feedback on any application
• Submission of an application does not create any contractual obligation on the part of Northstar Ventures to fund, invest in, meet with, or otherwise engage with the applicant
• We reserve the right to decline any application at any time, with or without providing a reason
• You are responsible for ensuring that all information and materials submitted are accurate, complete, and do not infringe any third-party rights
• Application materials are subject to our Privacy Policy

We may request additional information or documents from applicants at any stage of the review process. Providing such information is optional, though failure to do so may affect the outcome of your application.

Participation in the Northstar Ventures Venture Scout Programme is governed by the following additional terms:

• Approval required: You must apply for and receive explicit written approval from Northstar Ventures before participating as a Venture Scout. Approval is at our sole discretion and is not guaranteed
• Rewards are discretionary: Any rewards associated with the programme are entirely discretionary. Northstar Ventures does not guarantee any reward for any referral, regardless of the outcome of the referred application
• Programme modifications: Reward amounts, eligibility criteria, programme structure, and these terms may be modified, suspended, or discontinued at any time at our sole discretion, with or without notice
• Conduct standards: Scouts must not engage in spam, unsolicited mass communications, misleading promotion, or any activity that misrepresents Northstar Ventures or creates false expectations for founders
• No authority to commit: Scouts have no authority to make investment commitments, representations about investment terms, or any binding statements on behalf of Northstar Ventures
• Consequences of violation: Violation of any of these conditions may result in immediate termination from the programme and forfeiture of any pending or future rewards

Referral links are permanent and unique to each approved scout. Scouts may not attempt to regenerate or transfer their referral link.

Your Content

Your pitch deck, business plan, application materials, and any other content you submit to the Platform remain your intellectual property. By submitting materials to Northstar Ventures, you grant us a limited, non-exclusive, non-transferable, revocable licence to access, review, and use those materials solely for the purpose of evaluating your application.

We will not use your application materials for any purpose other than evaluating your application without your consent.

Our Content

The Northstar Ventures name, logo, brand identity, platform design, software, code, content, and all associated intellectual property are owned by or licenced to Northstar Ventures. All rights are reserved.

You may not reproduce, distribute, modify, create derivative works from, publicly display, publicly perform, republish, download, store, transmit, or otherwise exploit any of our intellectual property without our express prior written permission.

We treat the information you submit in your startup application as confidential. We will not share your application materials, business information, or financial data with third parties without your consent, except as described in our Privacy Policy or as required by law.

We do not disclose the specific details of our internal review process, evaluation criteria, scoring methodology, or decision-making rationale to applicants or any other external party.

Internal notes, evaluations, and communications made by Northstar Ventures personnel during the review process are strictly confidential and are not disclosed to applicants or other users of the Platform.

You agree not to engage in any of the following activities:

• Submitting false, misleading, fabricated, or fraudulent information in any application, registration, or communication
• Misrepresenting your identity, qualifications, authority, or the nature, stage, or status of your startup
• Using the Venture Scout Programme to send unsolicited bulk communications or to engage in any form of spam
• Attempting to reverse-engineer, decompile, disassemble, or otherwise extract the source code, algorithms, or underlying data of the Platform
• Using the Platform for any purpose that is unlawful, harmful, or in violation of any applicable law or regulation
• Interfering with or disrupting the integrity, security, performance, or availability of the Platform or its infrastructure
• Circumventing or attempting to circumvent any security measures, authentication systems, or access controls
• Using automated tools, bots, scrapers, or scripts to access or extract data from the Platform without our express permission
• Harassing, threatening, or causing harm to any user, employee, or representative of Northstar Ventures

Violation of any of these provisions may result in immediate suspension or termination of your account and, where applicable, referral to appropriate legal authorities.

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, NORTHSTAR VENTURES EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND THOSE ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

We do not warrant that the Platform will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We do not warrant that defects will be corrected or that the Platform will meet your requirements.

Investment decisions are made entirely at the sole and absolute discretion of Northstar Ventures. Nothing on the Platform constitutes financial advice, investment advice, or a solicitation to invest.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL NORTHSTAR VENTURES, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE PLATFORM, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNTS PAID BY YOU TO NORTHSTAR VENTURES IN THE TWELVE MONTHS IMMEDIATELY PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS (USD $100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

We reserve the right to suspend, restrict, or terminate your access to the Platform at any time, without prior notice, for conduct that we determine, in our sole discretion, violates these Terms, is harmful to other users, third parties, or Northstar Ventures, or for any other reason.

You may close your account and terminate your use of the Platform at any time by contacting us at hello@northstarvc.xyz. Upon closure of your account, your right to access and use the Platform will immediately cease.

Sections of these Terms that by their nature should survive termination — including but not limited to Intellectual Property, Disclaimer of Warranties, Limitation of Liability, and Governing Law — shall survive any termination or expiration of these Terms.

Termination does not affect your obligations or our rights that accrued prior to the date of termination.

These Terms and any dispute arising out of or related to them or the Platform shall be governed by and construed in accordance with applicable law.

In the event of a dispute, we strongly prefer good-faith resolution. We ask that before initiating any formal legal proceedings, you contact us directly at hello@northstarvc.xyz so that we have the opportunity to work toward a mutually agreeable resolution.

Nothing in these Terms limits any rights you may have under applicable mandatory consumer protection or data protection laws in your jurisdiction.

We reserve the right to modify these Terms at any time. When we make changes, we will update the "Last updated" date at the top of this page.

For material changes to these Terms, we will endeavour to provide reasonable notice, such as by posting a notice on the Platform or sending an email to the address associated with your account, where appropriate.

Your continued use of the Platform after any modifications to these Terms become effective constitutes your binding acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Platform.

We encourage you to review these Terms periodically so that you remain informed of your rights and obligations.
